    What sell-side advisory means

An advocate on your side of the table.

Listing your business yourself puts you alone against professional buyers who do this every day. Sell-side advisory flips that. We're your representation: we run the process, hold the leverage of a competitive field of buyers, and negotiate for your outcome, not the buyer's.

Straight talk on valuation: we give you an honest, defensible number up front, built on what similar businesses actually sold for. Sometimes it's lower than you hoped. It's also the number that actually closes, instead of stalling for months and getting cut later.

    What we do

    Everything we do for you.

A full M&A process, run end to end. It's all included in one success fee.

    • Valuation and positioning

We build an honest, defensible valuation from your real, normalized financials and live market comps, then position the business for the strongest multiple it can support.

    • Confidential marketing

A polished blind teaser and a full information memorandum (CIM) that tell your story to the right buyers without your name. Buyers sign an NDA for your deal before they learn it.

    • Buyer sourcing

We reach out to operators, search funds, family offices, and PE buyers who fit your deal, not just whoever happens to browse a listing.

    • NDA before your name

Buyers confirm their email and sign an NDA for your deal before they learn your name. We can also set your deal so each buyer needs our approval first.

    • We field every inquiry

You never take cold buyer calls. Questions come to us first, we answer what we can, and only bring you the serious conversations.

    • Confidentiality and data room

NDAs, a secure data room, and controlled, staged disclosure protect your employees, customers, and competitive position throughout.

    • Negotiation and deal structuring

We run a competitive process to drive price and terms, then structure the deal (cash, earnouts, seller notes, transition) around your goals.

    • Due diligence management

We run the whole diligence process so buyers get what they need on a clear timeline, without burying you in requests.

    • Closing and transition

LOI (the signed letter of intent) to close: legal coordination, escrow oversight, and a transition plan that protects the deal and your legacy after the sale.

    The process

How a sale works with us.

Six stages, typically 6 to 9 months, with you informed at every step.

    1. Valuation and prep

We value the business, normalize the financials, and build your teaser and CIM. We also flag anything that could slow a deal so we fix it before buyers see it.

    2. Go to market

We take the opportunity to buyers who fit, blind first. Buyers sign an NDA for your deal before they learn your name.

    3. Field interest

We answer buyer questions and shortlist the serious ones. You see the buyers who sign the NDA for your deal, and you stay focused on running the business.

    4. Offers and negotiation

We drive competing offers, negotiate price and terms on your behalf, and walk you through each one in plain English so you can choose with confidence.

    5. Due diligence

We manage the buyer's diligence end to end through the data room, keeping the deal on a timeline and the momentum alive.

    6. Close and transition

We coordinate legal, escrow, and signing, then support a clean handoff so the business, and your proceeds, transfer smoothly.

    How we're paid

    One success fee. Nothing upfront.

A single success fee, set for your business and paid only when it closes. No retainer and no upfront fees. We'll quote yours in writing before you sign. If you bought a paid valuation, it's credited against the fee.

    What sellers ask us.

Still weighing your options? That's a good reason to talk.

What does it cost, and do I pay anything upfront?
Nothing upfront and no retainer. Our success fee is set for each business and paid only at closing. We'll quote yours and put it in writing before you sign. You only pay when your business actually sells.
How do you value my business?
We use your real, normalized financials (SDE or EBITDA with add-backs) against live comparable transactions and current market multiples. We give you an honest, defensible number built on what similar businesses actually sold for. Sometimes it's lower than you hoped, but it's the number that gets to closing.
Will my employees, customers, or competitors find out?
Not from us. Your business goes to market without its name, and buyers sign an NDA for your deal before they learn it. Files open in a secure data room, and we can hold the sensitive ones back until an offer is accepted. Confidentiality is the core of how we run a process.
Do I have to deal with buyers directly?
No. Every inquiry comes to us first. We answer what we can on your behalf and only bring you the serious conversations. You're never fielding cold calls.
    Who are the buyers?
Operators, search funds, family offices, and private equity, plus strategic buyers in your space. Each signs an NDA for your deal before they learn your name, and we can set your deal so each buyer needs our approval first.
How long does it usually take?
Most lower-middle-market deals run roughly 6 to 9 months from go-to-market to close, depending on size, complexity, and how buyer-ready your financials are. Strong preparation up front is the biggest lever on timeline.
How involved do I need to be?
Lightly, in the right places. We handle marketing, buyer questions, and process management. Your time is mostly the kickoff, a handful of buyer meetings we curate, and diligence. You keep running the business.
    What if it doesn't sell?
You owe us nothing. Because we're paid only on a successful close, our incentive is fully aligned with yours: get the deal done at the best price and terms.
